Terms of Service

These Terms govern access to and use of Leadiy — the platform, website, dashboards, discovery and enrichment tools, AI features, outreach and campaigns, reports, integrations, and support.

01Agreement to these Terms

These Terms of Service (the Terms) govern access to and use of Leadiy, including the website, web application, dashboards, business discovery and enrichment tools, opportunity and lead scoring, market and competitor analysis, website analysis, AI-assisted outreach, email campaign tools, contact and lead lists, reports and exports, the API, integrations, support tools, documentation, and any other features we make available (together, the Service).

Leadiy is an AI-powered customer-acquisition and business-intelligence platform that helps teams discover businesses, enrich them with verified contact details, score them by fit and intent, generate personalised outreach, and run and track email campaigns — turning scattered prospecting into a single connected workflow.

By creating an account, accessing or using the Service, clicking to accept these Terms, signing an Order Form, or using any free, paid, or custom plan, you agree to these Terms on behalf of yourself or the organisation you represent.

If you use Leadiy for an organisation, you confirm that you have authority to bind that organisation. If you do not agree with these Terms, do not use the Service.

02Definitions

In these Terms:

  • Company, we, us, or our means Leadiy (Pvt) Ltd, providing the Leadiy product.
  • Service means Leadiy and all related websites, applications, dashboards, APIs, reports, alerts, integrations, customer support, documentation, and professional services.
  • Customer, you, or your means the individual or organisation using the Service.
  • Authorised User means a person invited or permitted to use the Service under your account.
  • Customer Data means data, search terms, keywords, categories, locations, saved businesses, competitors, uploaded files, prompts, sender profiles, email content, campaigns, account settings, reports, notes, and other content submitted to or configured in the Service by or for you.
  • Business Source Data means publicly available or third-party business and place information collected, indexed, analysed, enriched, verified, or displayed by the Service — such as business names, categories, addresses, ratings, reviews, websites, public contact details, social profiles, photos, opening details, and other business listing signals.
  • Leadiy AI means AI-assisted functionality that discovers, enriches, scores, classifies, summarises, translates, ranks, recommends, drafts, or otherwise analyses data and outputs.
  • Points means the consumable usage credits allocated to your plan that are spent when you perform actions such as searching, enriching, scoring, analysing, generating outreach, or sending campaigns.
  • Order Form means any signed proposal, quotation, invoice, checkout page, statement of work, subscription confirmation, pilot agreement, or other commercial document that describes the plan, fees, limits, features, and term of access.

03Accounts and authorised users

You must provide accurate account, organisation, billing, and contact information and keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

You are responsible for your Authorised Users, including their access levels, permissions, use of exports and reports, connected email accounts, and compliance with these Terms. You must promptly remove users who no longer require access.

Notify us immediately at support@leadiy.com if you suspect unauthorised access, credential compromise, or misuse of the Service.

04Eligibility

The Service is intended for business and professional use by people who are at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract. Leadiy is not directed to consumers acting for personal, family, or household purposes, and is not intended for children.

You may not use the Service if you are barred from doing so under applicable law, sanctions, or export-control rules, or if your access has been previously suspended or terminated for cause.

05Plans, access, and product limits

Leadiy may offer free, starter, growth, pro, enterprise, custom, and other plans. Plan names, features, data coverage, pricing, search limits, enrichment limits, points allowances, refresh rates, report availability, support levels, integrations, and user limits may differ by plan and may change from time to time.

The specific access rights for your account are determined by the applicable Order Form, checkout flow, customer dashboard, or written agreement. Marketing pages and help documents explain the Service generally, but they do not override the commercial terms agreed with you.

We may make changes to improve security, comply with law, respond to third-party platform or data-source changes, prevent misuse, update product functionality, or maintain the Service.

06Points, credits, and usage

Most plans run on a points system. Each plan includes a monthly (or otherwise stated) pool of points, and actions that use data or AI — such as searching for businesses, enriching contacts, scoring opportunities, running a market or competitor analysis, generating AI outreach, or sending a campaign — each spend a small number of points based on the amount of data and processing involved.

  • The point cost of an action may be shown before you run it and may change as the Service evolves.
  • Unless expressly stated in your plan or Order Form, points are consumable, may expire at the end of each billing cycle, and do not roll over or convert to cash.
  • Points that have been spent are used and are not refundable, regardless of the outcome, accuracy, or usefulness of the result.
  • We may set fair-use limits, rate limits, and anti-abuse controls to protect the Service and its data sources.

07Fees, billing, renewals, and failed payments

Fees are payable as described in your Order Form, invoice, checkout page, or subscription confirmation. Fees may be charged monthly, annually, by project, by seat, by points allowance, by report, by support level, or by another agreed commercial model. Payments are processed by our payment provider and merchant of record, LemonSqueezy; you enter card details on their secure, PCI-compliant checkout and Leadiy never sees or stores your full card number.

  • Free plan: Leadiy does not offer a time-limited trial. Every account starts on the Free plan, which includes a monthly points allowance to try the real platform at no cost and with no credit card. Free access may have limited searches, sources, points, reports, support, refresh rates, or retention, and we may change, restrict, or update it at any time.
  • Renewals: Subscription plans renew automatically for the same period unless cancelled before the renewal date as described in the applicable Order Form or checkout terms.
  • Taxes and charges: Unless stated otherwise, fees exclude taxes, bank charges, payment-gateway fees, withholding tax, duties, and levies, which are calculated at checkout or added to your invoice.
  • Failed or late payment: We may suspend or restrict access, pause data collection, withhold reports, or terminate the account if payment fails, invoices become overdue, or usage exceeds agreed limits.
  • Plan changes: Upgrades, extra users, added points, urgent monitoring, custom reports, integrations, or implementation may result in additional charges.

Except as expressly stated in the applicable Order Form, our Refund Policy, or applicable law, payment obligations are non-cancellable and fees are non-refundable.

08Acceptable use

You must use Leadiy lawfully, responsibly, and in a way that respects third-party rights and platform rules. You must not:

  • use the Service to violate law, regulation, contractual restrictions, platform terms, privacy rights, intellectual-property rights, or other third-party rights;
  • attempt to access accounts, systems, APIs, datasets, integrations, or information that you are not authorised to access;
  • use the Service for harassment, doxxing, unlawful surveillance, discriminatory profiling, stalking, individual targeting, or harmful conduct;
  • submit searches, files, prompts, or data that you are not authorised to process;
  • upload malware, harmful code, unlawful content, or content that infringes third-party rights;
  • reverse engineer, decompile, scrape, crawl, resell, overload, interfere with, or benchmark the Service for competitive purposes except as permitted by law or written agreement;
  • misrepresent Leadiy outputs, scores, reports, dashboards, or AI-generated content as guaranteed, complete, official, or endorsed where this is not true;
  • use outputs as the sole basis for legal, employment, credit, insurance, or similarly significant decisions about individuals; or
  • remove notices, watermarks, disclaimers, attribution, source references, or usage restrictions from reports or exports where those are required.

We may investigate suspected misuse and may suspend, restrict, or terminate access where we reasonably believe use of the Service creates legal, security, platform, operational, or reputational risk.

09Email outreach, anti-spam, and sender responsibilities

Leadiy lets you connect your own email account over SMTP and send outreach and campaigns from your address. You — not Leadiy — are the sender of those messages and are solely responsible for their content, targeting, and compliance.

  • You must have a lawful basis and, where required, consent to contact each recipient, and you must honour opt-outs and unsubscribe requests promptly.
  • You must comply with all applicable marketing and anti-spam laws, including as applicable the CAN-SPAM Act, GDPR and ePrivacy rules, CASL, and local equivalents.
  • You must include accurate sender information, a valid physical postal address, and a working unsubscribe mechanism where required.
  • You must not send unlawful, deceptive, harassing, or infringing content, and you must respect the sending limits, warm-up guidance, and deliverability tools we provide.
  • You are responsible for your sender reputation and for any action taken by your email provider or recipients as a result of your campaigns.

Leadiy provides deliverability tools and guidance, but does not guarantee inbox placement, open rates, reply rates, or that any recipient may lawfully be contacted. Sending remains your decision and your responsibility.

10Customer Data, Business Source Data, and AI outputs

You retain ownership of Customer Data. You grant us a limited, worldwide, non-exclusive licence to host, process, copy, transmit, analyse, store, display, transform, and use Customer Data as necessary to provide, secure, support, troubleshoot, maintain, and improve the Service, comply with law, and enforce these Terms.

Leadiy may collect, monitor, enrich, verify, classify, deduplicate, translate, cluster, summarise, score, and report on Business Source Data configured in your account. Coverage may include public place and business data, ratings and reviews, websites, public contact details, social profiles, and other online business signals, depending on the plan and source availability.

Business Source Data may be incomplete, delayed, rate-limited, duplicated, removed, inaccurate, unavailable, or affected by changes to third-party platforms, search indexes, APIs, permissions, privacy settings, regional restrictions, moderation decisions, or source quality.

Leadiy AI may generate summaries, themes, sentiment and intent labels, opportunity scores, recommendations, rankings, translations, and draft outreach. AI outputs may be inaccurate, incomplete, duplicated, or contextually wrong. You are responsible for reviewing outputs before relying on them, publishing them, sending them to prospects or clients, or using them in decisions.

Leadiy helps you move faster from scattered prospecting to structured pipeline, but it does not replace human review, professional judgment, legal advice, or your own qualification of leads.

11No guarantee of results

The Service is a decision-support and productivity tool. We do not guarantee any particular number of leads, meetings, replies, conversions, revenue, or business outcome. Data accuracy, contactability, and campaign performance depend on many factors outside our control, including the quality of public sources, recipient behaviour, and how you configure and use the Service.

12Third-party platforms, sources, and integrations

The Service may interoperate with or depend on third-party platforms, data sources, APIs, search engines, hosting providers, payment processors, email and SMTP providers, analytics services, messaging tools, support widgets, and other services.

Third-party services are not controlled by us. We are not responsible for their availability, data quality, API rules, pricing, security incidents, policy changes, content decisions, or platform restrictions. If a third-party service changes or stops supporting access, some Leadiy features may become unavailable, delayed, limited, or modified.

You are responsible for ensuring that you have the required rights, permissions, licences, consents, notices, and lawful basis to connect third-party accounts, mailboxes, or integrations to Leadiy.

13Privacy and data protection

Our Privacy Policy explains how we collect, use, disclose, and protect personal data. Where we process Customer Data as a processor or service provider on your behalf, our Data Processing Agreement may apply.

You are responsible for determining whether your use of Leadiy requires notices, consents, legitimate-interest assessments, data-protection impact assessments, contractual terms with your own customers, retention controls, access restrictions, or other safeguards.

If you use the Service in a regulated sector, for sensitive processing, or for cross-border reporting, you must ensure your configuration and use comply with applicable law and internal governance policies.

14Confidentiality

Each party may receive non-public information from the other, including product information, pricing, technical information, account configurations, reports, credentials, and business information. The receiving party must protect confidential information using reasonable care and use it only for the purpose of the relationship.

Confidentiality obligations do not apply to information that is publicly available without breach, independently developed without use of confidential information, lawfully received from a third party, or required to be disclosed by law.

15Intellectual property and brand use

We and our licensors own all rights in the Service, including software, workflows, dashboards, interface designs, data models, analytics and scoring methods, documentation, templates, report formats, product names, logos, marks, and brand assets. Except for the limited right to use the Service under these Terms, no rights are transferred to you.

You may use Leadiy reports and exports for your internal business purposes and for client or stakeholder reporting where your plan or Order Form permits it. You must not remove required notices, misstate the source of the analysis, or imply that Leadiy endorses your conclusions unless agreed in writing.

Use of the Leadiy name, logo, icon, screenshots, or other brand assets must not imply ownership, endorsement, certification, sponsorship, or partnership unless approved in writing.

16Feedback and product improvement

If you provide feedback, ideas, bug reports, product requests, or suggestions, you grant us a perpetual, worldwide, royalty-free right to use them to improve Leadiy and related services without restriction or compensation. We will not disclose your confidential information simply because it was included in feedback.

17Suspension and termination

We may suspend, restrict, or terminate your access if you breach these Terms, fail to pay fees, create legal or security risk, misuse the Service, exceed agreed limits, violate platform rules, or if we are required to do so by law or a third-party provider.

You may stop using the Service at any time and may cancel your subscription from Settings → Billing; you keep access until the end of the current billing period. Cancellation and non-renewal rights depend on your Order Form, checkout terms, invoice terms, or written agreement. Termination does not relieve you of payment obligations incurred before termination.

After termination, we may delete or disable access to Customer Data in accordance with our retention practices, the applicable Order Form, the DPA, and legal requirements.

18Disclaimers

The Service is provided on an "as is" and "as available" basis to the maximum extent permitted by law. We do not guarantee uninterrupted operation, complete source coverage, real-time delivery for every source, perfect data accuracy, perfect deduplication, error-free reports, complete historical data, or that every relevant business, contact, review, or conversation will be captured.

Insights, scores, recommendations, summaries, and AI outputs are decision-support tools. They are not legal, financial, tax, employment, investment, or professional advice.

We do not control third-party public content, user-generated content, platform availability, recipient behaviour, or platform moderation outcomes.

19Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost goodwill, loss of data, business interruption, loss of opportunity, reputational harm, or costs of substitute services, even if advised of the possibility of such damages.

Unless a separate written agreement states otherwise, our aggregate liability arising out of or relating to the Service will not exceed the fees paid by you for the affected Service during the three months before the event giving rise to the claim.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is not permitted by applicable law.

20Indemnity

You agree to defend, indemnify, and hold harmless the Company, its affiliates, officers, directors, employees, contractors, and agents from claims, losses, liabilities, damages, penalties, costs, and expenses arising from your Customer Data, your use of the Service, your outreach and campaigns, your breach of these Terms, your violation of law or third-party rights, your unauthorised use of third-party platforms or integrations, or your publication or external use of Leadiy outputs.

21Governing law and disputes

These Terms are governed by the laws of Sri Lanka, without regard to conflict-of-law rules. The parties will first attempt to resolve disputes in good faith through written notice and reasonable discussions.

If a dispute cannot be resolved informally, the parties submit to the exclusive jurisdiction of the competent courts of Colombo, Sri Lanka, unless another forum is required by applicable law or a separate written agreement.

22Miscellaneous

  • Entire agreement: These Terms, together with any Order Form and the policies referenced here, are the entire agreement between the parties on their subject matter and supersede prior discussions.
  • Assignment: You may not assign these Terms without our prior written consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
  • Severability: If any provision is held unenforceable, the remaining provisions continue in full force.
  • Waiver: A failure to enforce a provision is not a waiver of it.
  • Force majeure: Neither party is liable for delays or failures caused by events beyond its reasonable control.
  • Notices: We may provide notices by email, in-app message, or by posting on the website; you may contact us at the address below.

23Changes to these Terms

We may update these Terms from time to time. The updated version will be posted on this page with a new Last updated date. If we make material changes, we may provide additional notice by email, in-app notice, account notice, or another reasonable method.

Your continued use of the Service after an update becomes effective means you accept the updated Terms. If you do not agree, you must stop using the Service.
